Welcome to Satoriia. Rooted in a passion for vibrant hair and a thriving planet, Satoriia weaves wellness and beauty into every strand of our haircare. These Terms and Conditions (“Terms”) are our commitment to creating a transparent, joyful experience on our website at www.satoriia.com, including all subdomains, social media, and community platforms (collectively, the “Site”), and through our Honest Circle Membership. If you do not agree to these Terms, please refrain from using our Site.

1. Scope and Acceptance
These Terms govern your use of our Site, purchases, Honest Circle Membership, and all interactions with Satoriia. By accessing or using our Site, you agree to these Terms and our Privacy Policy. These Terms constitute a binding legal agreement between you and Satoriia LLC, a Florida limited liability company.

2. Eligibility
The Site and all Satoriia products are intended for individuals aged 18 or older. By using this Site, you represent and warrant that you are at least 18 years of age. If you are under 18, you may not use this Site or purchase our products. We do not knowingly collect information from anyone under 18.

Honest Circle Membership is open to individuals 18 or older, worldwide, for personal, non-commercial use.

U.S. members receive free standard shipping on qualifying orders; international members are eligible for all other benefits but pay additional shipping fees per our Shipments Policy.

3. Account Registration and Security
Creating an account personalizes your experience, including saved preferences, order tracking, and access to membership perks.

You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

Notify care@satoriia.com immediately if you suspect unauthorized use. We may suspend or terminate accounts to protect our community, providing notice where possible.

4. Orders and Payment
Orders placed through the Site are offers to purchase our products. We confirm receipt and accept your order when payment is processed and the order is shipped.

We reserve the right to verify order details, correct errors (including pricing errors), cancel orders that exceed available stock, and notify you of any changes before fulfillment.

All prices are in U.S. dollars. Taxes and shipping fees are displayed at checkout.

Shipping and return terms are governed by our Shipments Policy.

5. Honest Circle Membership
Membership is $49 USD per year, automatically renewing unless canceled. We will send a renewal reminder at least 30 days in advance with instructions to cancel if desired.

6. Gift Cards
Gift cards are redeemable for products on our Site, with no fees or expiration for five years.

Gift cards are non-refundable and not redeemable for cash, except as required by applicable state law. Satoriia is not responsible for lost or stolen cards.

7. User Content
By posting content (e.g., photos, reviews, comments) on our Site or social channels, you grant Satoriia a worldwide, royalty-free, sublicensable, perpetual license to use, display, reproduce, and share your content for any business purpose, including marketing.

You represent that your content is original, that you own all rights to it, and that it does not infringe on any third-party rights. We may remove content that violates these Terms or our values without notice.

8. Intellectual Property
All Site content, including logos, designs, text, images, and product formulations, is the property of Satoriia LLC and protected by U.S. and international copyright, trademark, and trade secret laws. The Satoriia™ trademark is pending registration with the USPTO (Serial #99155048).

Do not copy, modify, distribute, or use our content without prior written permission from Satoriia LLC.

Do not use the Site for unlawful, misleading, or disruptive purposes.

9. Product Information, Safety, and Disclaimer
Our products are cosmetics formulated with care and manufactured in compliance with FDA Good Manufacturing Practices (GMP) and the Modernization of Cosmetics Regulation Act of 2022 (MoCRA).

Patch Test Recommended: Before first use of any Satoriia product, we strongly recommend performing a patch test: apply a small amount to a discreet area of skin 24–48 hours before full application. Discontinue use and consult a healthcare provider if irritation, redness, or discomfort occurs.

Not Medical Advice: No product description, ingredient information, or content on this Site constitutes medical advice or is intended to diagnose, treat, cure, or prevent any disease or medical condition. Satoriia products are cosmetics, not drugs.

Natural ingredient variations may affect color, texture, or scent between batches. These variations do not affect product safety or performance.

Products and Site content are provided “as is,” without warranties of any kind except as expressly stated in these Terms or required by applicable law. If you encounter a product issue, contact us within 30 days of delivery per our Shipments Policy.

10. Privacy, Cookies, and Data Sharing
Your data is handled in accordance with our Privacy Policy, including compliance with the California Consumer Privacy Act / California Privacy Rights Act (CCPA/CPRA) and EU/UK GDPR.

We use cookies and third-party tracking technologies (including advertising pixels) on our Site. Non-essential cookies and pixels require your consent before activation. You may manage your preferences via the cookie consent banner displayed on your first visit, or by contacting care@satoriia.com.

Under CCPA/CPRA, California residents have the right to opt out of the “sale or sharing” of their personal information with third parties (including sharing via advertising pixels). To exercise this right, use the “Do Not Sell or Share My Personal Information” link in our Site footer or contact care@satoriia.com.

11. Limitation of Liability and Indemnification
Use the Site responsibly. You agree to indemnify, defend, and hold harmless Satoriia LLC and its members, officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, violation of these Terms, or infringement of any third-party rights.

Satoriia is not liable for damages arising from circumstances beyond our reasonable control, including internet outages, third-party service failures, carrier delays, acts of God, or government action.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SATORIIA’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS, THE SITE, OR OUR PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SATORIIA IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Nothing in these Terms limits Satoriia’s liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.

IN NO EVENT WILL SATORIIA BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Dispute Resolution and Arbitration
Contact care@satoriia.com first to resolve concerns informally. We will make good-faith efforts to resolve any dispute within 30 days.

If we cannot resolve a dispute informally, it will be resolved by binding, confidential, individual arbitration under the American Arbitration Association (AAA) Consumer Arbitration Rules, in your county of residence (or by telephone/video) unless otherwise agreed.

Satoriia covers AAA filing and administrative fees for claims under $75,000.

Class Action Waiver: All disputes must be brought on an individual basis. You waive the right to participate in any class action, collective action, or representative proceeding. You may opt out of this arbitration clause and class action waiver by emailing care@satoriia.com within 30 days of first creating an account or making a purchase (whichever is earlier), with the subject line “Arbitration Opt-Out.”

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any claims not subject to arbitration will be resolved exclusively in the state or federal courts located in Duval County, Florida.

13. Copyright Concerns (DMCA)
If you believe content on our Site infringes your copyright, contact care@satoriia.com with: (a) your contact information, (b) identification of the allegedly infringing content and its location on our Site, (c) identification of the original copyrighted work, and (d) a good-faith statement that the use is not authorized. We will act promptly under the Digital Millennium Copyright Act (DMCA).

14. Updates to These Terms
We may update these Terms at any time. Changes are effective upon posting on our Site. For material changes, we will provide notice via email or a prominent Site notice at least 14 days before the change takes effect where required by law.

Continued use of the Site after changes become effective constitutes your acceptance of the updated Terms.

15. International Users
This Site is operated from the United States and governed by Florida law. International users are responsible for ensuring compliance with their local laws before purchasing.

EU/UK users’ data is processed in accordance with GDPR as described in our Privacy Policy. By using the Site, EU/UK users consent to the transfer of their data to the United States, subject to appropriate safeguards.

Satoriia is committed to making our Site accessible in accordance with WCAG 2.1 Level AA standards, supporting screen readers, keyboard navigation, and high-contrast modes.

SMS/Text Messaging Terms. By opting in to satoriia text messages you agree to receive recurring automated marketing and account texts at the number provided. Consent is not a condition of purchase. Message frequency varies. Message & data rates may apply. Reply STOP to cancel, HELP for help. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how we handle your information.

Chargebacks and Payment Disputes. Before initiating a payment dispute, you agree to contact care@satoriia.com and give us 10 business days to resolve the issue — in most cases we refund faster than a dispute resolves. We reserve the right to contest chargebacks with order, delivery, and consent records, to suspend accounts and Honest Circle benefits during an open dispute, and to recover reasonable costs of meritless disputes where permitted by law.

External Use Only. For external use only. Avoid contact with eyes; rinse thoroughly if contact occurs. Discontinue use if irritation occurs. Keep out of reach of children. Perform a patch test 24–48 hours before first use.

Arbitration — Additional Provisions (supplementing Section 12; the existing AAA rules, class-action waiver, and 30-day opt-out remain in full force).

Small-claims carve-out. Either party may bring an individual claim in small-claims court instead of arbitration, if it qualifies.

Informal notice and cure. Before starting arbitration, the claiming party will send a written description of the dispute to the other and allow 30–60 days to resolve it informally; this notice period is a precondition to filing.

Mass-filing / batching. If 25 or more similar demands are filed by or with the help of the same or coordinated counsel, the demands will be batched and administered together in staged groups to control fees, consistent with the administrator’s mass-filing rules.

Fee-shifting for frivolous claims. To the extent permitted by law, the arbitrator may award the prevailing party its reasonable costs and fees for any claim or defense found frivolous or brought for an improper purpose.

SATORIIA HONEST CIRCLE MEMBERSHIP TERMS

Welcome to the Satoriia Honest Circle. These Terms govern your Honest Circle membership and any earned trial, and they supplement our full Terms & Conditions at www.satoriia.com. Please read them before enrolling.

1. Membership and fee. Honest Circle membership costs $49.00 USD per year. The annual fee is charged at enrollment and is non-refundable, except where required by law. The fee is never waived; there is no “free membership” tier.

2. Automatic renewal; cancellation. Your membership renews automatically once per year at $49.00 USD to the payment method on file, until you cancel. This auto-renewal is disclosed at the point of purchase, in your order confirmation, and here. You may cancel at any time — in your account under Subscriptions/Memberships, or by emailing care@satoriia.com. Cancellation stops the next renewal; it does not refund the current year’s fee. We send a renewal reminder at least 30 days before each annual renewal, with the amount, the date, and a cancellation link.

3. Member benefits. While your membership is active you receive: (a) 15% off eligible orders, applied at checkout; (b) free shipping on orders over $60 USD; (c) the Honest Notes; and (d) early access to new launches. Benefits begin at enrollment and end when your membership lapses or is canceled. Benefits are personal to you, non-transferable, and have no cash value.

4. 15% discount — not stackable. The 15% member discount does not stack with other coupons, promotional codes, or sitewide sales; where discounts overlap, the single best available discount applies. The member discount does not apply to gift cards, membership fees, taxes, or shipping charges.

5. Welcome gift — one per customer, ever. Eligible members may choose one full-size welcome gift (trueCLEANSE, realSMOOTH, or pureVIBES), subject to availability. For paid members, the gift ships with your first order of $75 USD or more placed as a member. Only one welcome gift is issued per customer, ever, across every path into the Circle — including an earned trial (Section 6). A member who received the gift through a trial does not receive a second gift upon joining the paid Circle. Substitutions of equal or greater value may be made if a chosen item is unavailable.

6. Earned trial — “Honest Circle LIMITED.” If your first-ever order at satoriia.com totals $250 USD or more (after discounts, before tax and shipping), you receive Honest Circle LIMITED for three (3) months at no additional charge, beginning on the order date. During the trial you receive: (a) 15% off a single order — the discount may be used one time during the three-month trial (a subscription shipment counts as that one order); (b) free shipping over $60 USD; (c) the Honest Notes; (d) early access; and (e) your one welcome gift, shipped in the qualifying $250+ box (chosen at checkout). Only the first-ever qualifying order earns a trial. The trial is not transferable and has no cash value.

7. Trial does NOT auto-convert to a charge. The earned trial never converts to a paid membership automatically and never bills you. Because you provide no membership payment details to start a trial, nothing can be charged when it ends. At the end of the three months your Honest Circle LIMITED benefits simply end and you return to standard pricing and shipping. If you choose to continue, you may join the paid Honest Circle at $49/year by actively enrolling and paying — a separate, affirmative action by you.

8. Shipping thresholds. Free shipping applies to member (and active-trial) orders over $60 USD. For non-members, standard free-shipping applies to orders over $95 USD; below the applicable threshold, shipping is calculated at checkout.

9. Founding price lock. Members who join during the launch cohort keep the $49/year rate for the life of their continuous membership, even if the standard price later increases. The lock ends if the membership is canceled or lapses.

10. Changes. We may modify Honest Circle benefits or these Terms prospectively; we will notify active members of material changes by email before they take effect, and continued membership after the effective date constitutes acceptance. Nothing here limits your right to cancel.

11. Governing terms. All other provisions of our full Terms & Conditions — including governing law (Florida), venue (Duval County), warranty disclaimers, arbitration, and the chargeback and dispute provisions — apply to your membership.
